Terms of Service

These Terms form the agreement between you and Helm (operated by DarkMatter OS Limited, “we” or “us”) regarding your use of the Helm service (helmai.cc, the “Service”). By registering for or using the Service, you agree to these Terms and our Privacy Policy.

1. About the Service

Helm is an AI back-office assistant for Hong Kong one-person companies, freelancers and small businesses, offering receipt OCR booking, quotations and invoices, payment collection and reminders, tax filing assistance and more. Helm can optionally connect to your Google account (Google Drive) to provide invoice filing.

2. Accounts

  • You must provide accurate information and are responsible for all activity under your account.
  • You must keep your login credentials secure, and may not transfer or lend your account to anyone else.

3. Subscriptions and Fees

  • Some features require a paid subscription or the purchase of Credits; see thePricing pagefor details.
  • Payments are processed by a third-party payment provider (such as Stripe). You may cancel your subscription at any time; after cancellation, you will not be charged from the next billing cycle. If you have a query about a charge, you may email info@darkmatteros.com within 7 days of payment to request a refund, which we will handle manually on a case-by-case basis.
  • We may adjust fees from time to time and will give reasonable notice before any change.

4. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose, or upload data you have no right to process;
  • attempt to interfere with, reverse-engineer, or gain unauthorised access to the Service or other users' data;
  • abuse, make excessive requests to, or attempt to circumvent usage limits.

5. Not Professional Advice

The accounting, tax, financial and compliance-related content provided by Helm is for reference only and does not constitute professional accounting, tax, legal or financial advice.You should verify all tax filings, returns and financial decisions yourself or consult a qualified professional. You bear ultimate responsibility for decisions made in reliance on the Service's output.

6. Your Data

You retain ownership of the content you upload and generate. You grant us a limited licence to process such content as needed to provide the Service. Our handling of Google user data is governed by our Privacy Policy and the Google API Services User Data Policy (including the Limited Use requirements).

7. Service Provided “As Is”

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no express or implied warranties as to the Service's merchantability, fitness for a particular purpose, or uninterrupted, error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages; our aggregate liability is capped at the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

  • You may stop using the Service and request deletion of your account at any time.
  • If you breach these Terms, we may suspend or terminate your account.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, and related disputes are subject to the exclusive jurisdiction of the Hong Kong courts.
